These Terms and Conditions (“Terms”) govern your access to and use of Coin AI, operated by Coin AI (“Coin,” “we,” “us,” or “our”). By creating an account or using the service, you agree to these Terms. If you do not agree, do not use Coin AI.

1. Acceptance of terms

By accessing or using Coin AI, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the service on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.

2. Eligibility and accounts

You must be at least 18 years old and able to form a legally binding contract to use Coin AI. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at [email protected] if you suspect unauthorized use.

3. The service

Coin AI provides AI-assisted tools for researching, designing, backtesting, and paper-trading investment strategies. Features include conversational strategy design, historical backtesting, simulated paper trading, portfolio tracking, and market data lookups.

The service is provided on an as-is basis and may change, including the addition or removal of features. We strive to minimize service interruptions but cannot guarantee uninterrupted availability, particularly during the beta period.

Market data is sourced from third-party providers, including Polygon.io and CoinGecko. Coin AI makes no warranties about the accuracy, completeness, or timeliness of that data. You should independently verify data before relying on it. Third-party provider terms may also apply.

4. No financial advice

Coin AI is a research and simulation tool. It is not a broker-dealer, investment adviser, or financial planner. Nothing produced by the service, including AI-generated strategy configurations, backtest results, PDF reports, and chat responses, constitutes investment, legal, tax, or accounting advice, and nothing should be relied on as a recommendation to buy, sell, or hold any security.

Past performance is not indicative of future results. Backtests and paper trades are simulations based on historical data and simplifying assumptions. Real-world trading involves risk, including the risk of losing the entire amount invested. Always consult a qualified professional before making investment decisions.

5. Acceptable use

You agree not to:

  • Use the service for any unlawful purpose or in violation of these Terms.
  • Attempt to reverse engineer, decompile, or otherwise derive the source code of any part of the service, except to the extent expressly permitted by law.
  • Circumvent or interfere with security, rate-limiting, or access-control features.
  • Scrape, harvest, or programmatically extract data except through interfaces we expressly provide for that purpose.
  • Use the service to develop a competing product or to train machine-learning models without our prior written consent.
  • Upload or transmit content that is unlawful, infringing, defamatory, or otherwise harmful.

We reserve the right to suspend or terminate accounts that violate these rules.

6. Subscriptions and billing

Some features require a paid subscription. Subscription fees, billing cycles, and plan details are presented at the time of purchase and on the pricing page. Fees are charged in advance and are non-refundable except where required by law.

During the beta period, specific features may be offered free of charge or at promotional pricing. We reserve the right to change pricing for future billing cycles with advance notice. You can cancel at any time, and cancellation takes effect at the end of the current billing period.

7. Intellectual property

Our content

Coin AI, including the software, design, branding, and documentation, is owned by us and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the service for its intended purpose.

Your content

You retain ownership of the strategies, prompts, and other content you submit. You grant us a worldwide, non-exclusive, royalty-free license to host, process, and display that content solely as necessary to provide the service to you. We will not use your content to train third-party models.

8. Disclaimers

The service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that it will meet your requirements, or that any data, including market data, will be accurate or timely.

Coin AI is not liable for any failure or delay in performance caused by circumstances outside its reasonable control, including third-party service outages, API failures, acts of government, or natural disasters.

Market data displayed or used in backtests is sourced from third-party providers, including Polygon.io (equity and options data) and CoinGecko (cryptocurrency data). Coin AI makes no representations about the accuracy, completeness, or timeliness of data supplied by these providers and is not responsible for errors or omissions in that data. Use of market data is subject to the terms of the applicable data provider.

9. Limitation of liability

To the fullest extent permitted by law, Coin AI and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the service. Our total liability for any claim relating to the service will not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) one hundred US dollars.

10. Indemnification

You agree to defend, indemnify, and hold harmless Coin AI and its officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the service in violation of these Terms; (b) your violation of any applicable law or regulation; (c) your infringement of any third-party right, including intellectual property or privacy rights; or (d) any content you submit to the service.

We reserve the right to assume exclusive control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of that claim.

11. Arbitration and class action waiver

Please read this section carefully. It affects your legal rights.

Most disputes can be resolved by contacting us at [email protected]. If we cannot resolve a dispute informally, you and Coin AI agree that any claim, dispute, or controversy arising out of or relating to these Terms or the service, except claims that qualify for small claims court and requests for emergency injunctive or equitable relief, will be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, which are available at adr.org. The arbitration will be conducted in English and, unless otherwise required by the AAA rules, will proceed on the basis of written submissions.

Class action waiver.You and Coin AI each waive the right to a jury trial and the right to participate in a class action, class arbitration, or representative proceeding of any kind. The arbitrator may not consolidate more than one person's claims and may not preside over any class or representative proceeding.

Opt-out right. If you do not wish to be bound by this arbitration agreement, you must notify us in writing within 30 days of first accepting these Terms by emailing [email protected]with the subject line “Arbitration Opt-Out” and your name and email address associated with your account. Opting out of arbitration does not affect any other provision of these Terms.

Governing rules. The AAA Consumer Arbitration Rules govern the arbitration, except where these Terms conflict, in which case these Terms control. If the AAA is unavailable, the parties will agree on an alternative arbitration body. The Federal Arbitration Act governs the interpretation and enforcement of this section.

12. Termination

You may stop using the service at any time and close your account from the settings page or by contacting us. We may suspend or terminate your access if you violate these Terms or if we are required to do so by law. Provisions that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, and governing law, will continue to apply.

13. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The exclusive venue for any disputes will be the state or federal courts located in Delaware, and you consent to jurisdiction there.

14. Force majeure

Coin AI will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government action or regulation, labor disputes, internet or telecommunications outages, power failures, or the failure of third-party service providers (including cloud infrastructure, data providers, and payment processors). If such an event continues for more than 30 days, either party may terminate the affected service by providing written notice.

15. Changes to these terms

We may update these Terms as the service evolves. When we make material changes, we will update the “Last updated” date above and, where appropriate, notify you in-product or by email. Continued use of Coin AI after a change means you accept the revised Terms.
